MINUTES OF THE CULTURAL ARTS BOARD
OF THE
CITY OF THE COLONY
September 1, 2009
A SPECIAL SESSION of the Cultural Arts Board of the City of The Colony was called
to order by Chair Lux at 7:01pm

2. Discussion, draft and consideration of new CAB bylaws
Changes were made to draft as recommended by the City Attorney, with the
following exceptions:
Article III, Ld. not changed, since it is valid, as it is a directly from the ordinance.
Article IV, 2. Changed to read as follows:
Lobbying and Electioneering. No activities of the board shall consist of participating or
intervening in any political campaign on behalf of any candidate for public office outside the
scope of the Cultural Arts Board's purpose as designated by the City Council, but nothing
contained in these bylaws may be construed to preclude any person from exercising his individual
right to participate in political activity.
Article IV, 4. Changed to read as follows:
Compliance with State Law. All funds administered or controlled by the Board must be used and
accounted for in compliance with applicable state and local laws, rules and regulations. In the
event that special funds are utilized by the Board (Hotel Occupancy Tax Funds), those funds shall
be used as provided by state law.
Article V, 7. Chenged to read as follows:

Amendment. Amendment to the bylaws requires an affirmative vote of a two-thirds-majority of
members present in person at a meeting.
Article VI, 3. Changed to read as follows:
Open Meetings. All meetings of the Board shall be held in accordance with the Texas Open
Meetings Act. All meetings and procedures not specified in the bylaws shall be governed by
Robert's Rules of Order Newly Revised.
Article VII, 8.c. Changed to read as follows:
Secre : The secretary shall keep minutes at all meetings of board, or designate a substitute if
absent. The secretary shall be responsible for all records of the board, provide all required notices
of meetings of board, and perform all duties normally performed by such an officer. The secretary
is required to work in conjunction with the city liaison.
All changes were agreed to unanimously.
The board also agreed to ask the City Attorney for further clarification on the
meaning of "financial interest" as used in Article V, 9. And to change Article XI
to cite a separate document, a Grant Process Policy to be created separately.
The meeting adjourned at 8:22 pm
