HomeMy WebLinkAboutResolution No. 08-003 RESOLUTION NO. 08- 009 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF THE COLONY, TEXAS, APPROVING THE TERMS AND CONDITIONS OF THE ENGINEERING SERVICES CONTRACT BY AND BETWEEN THE CITY OF THE COLONY AND FREESE & NICHOLS FOR PREPARATION OF AN AMENDMENT TO THE WASTEWATER MASTER PLAN, WHICH IS ATTACHED HERETO AND INCORPORATED HEREIN AS EXHIBIT "A"; AUTHORIZING THE CITY MANAGER TO EXECUTE THE CONTRACT; AND PROVIDING AN EFFECTIVE DATE WHEREAS, the City and Consultant have entered into an agreement such that the Consultant is to provide the following services: PREP ARA nON OF AN AMENDMENT TO THE WASTEWATER MASTERPLAN; and WHEREAS, the City has determined that it is in the best interest of the City to enter into the Contract with FREESE & NICHOLS, which is attached hereto and incorporated herein by reference as Exhibit "A," under the terms and conditions provided therein; and WHEREAS, with this Contract the City of The Colony is agreeing to pay the sum not to exceed $26,000 for such work. THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF THE COLONY, TEXAS THAT: Section 1. The Engineering Services Contract, which is attached and incorporated hereto as Exhibit "A", having been reviewed by the City Council of the City of The Colony, Texas, and found to be acceptable and in the best interest of the City and its citizens, be, and the same is hereby, in all things approved in the amount of $26,000 and the City Manager is hereby authorized to execute the Contract on behalf of the City of The Colony, Texas. Section 2. This Resolution shall take effect immediately from and after its adoption and it is so resolved. PASSED, APPROVED and EFFECTIVE this 7th day of Januarv. 2008. T~) /" 63918 SCOPE OF SERVICES AND RESPONSmILITIES OF OWNER This is an exhibit attached to, made a part of and incorporated by reference into the Agreement between the City of The Colony (City) and Freese and Nichols, Inc. (FNI) providing for professional engineering services. A. Conduct Kick -Off Meeting with City Staff: FNI will conduct a kick -off meeting with City staff to discuss the project and gather data including mapping of the proposed collection system, proposed piping and lift station sizing, population projections, and wastewater flow projections. B. Review Population and Wastewater Flow Projections: FNI will review the population and wastewater flow projections provided by the Developer and compare to the projections from the current Wastewater Master Plan. FNI will submit for City approval recommendations for population and wastewater flow projections based on the review. Projections will be included for areas outside the Austin Ranch Development that will be served by the proposed collection system. C. Update Current Collection System Hydraulic Model: FNI will update the current collection system hydraulic model to incorporate the sewer collection system proposed by the Developer. D. Distribute Projected Wastewater Flows: FNI will input the approved project wastewater flows into the updated sewer collection system model. Flows will be based on population and flow projections approved by the City. Population distribution will be based on information provided by the Developer and approved by the City. E. Evaluate Proposed Sewer Collection System: FNI will run the updated model and evaluate the proposed collection system improvements. Where deficiencies are noted FNI will develop improvements to eliminate excessive surcharging and overflows in the model. F. Evaluate Impact on Downstream Improvements: FNI will evaluate the affect the proposed improvements will have on existing downstream improvements and future improvements recommended in the current Wastewater Master Plan. Where deficiencies are noted FNI will develop improvements to eliminate excessive surcharging and overflows in the model. G. Meet with City to Discuss Model Results: FNI will meet with City staff to discuss the model results. Following the meeting FNI will update the model and revise the future improvements based on comments received at the meeting. H. Prepare CIP: FNI will prepare a Capital Improvements Plan (CIP) for the collection system improvements. The CIP shall include projects for both Austin Ranch and for any recommended improvements for the collection system downstream from Austin Ranch including revisions to improvements recommended by the current Wastewater Master Plan. Conceptual level Opinions of Probable Construction Cost (OPCC) will be provided for all CIP projects. 1. Prepare Wastewater Master Plan Austin Ranch Area Amendment: FNI will prepare a Wastewater Master Plan Amendment for the Austin Ranch Area. The report shall include the findings of the study including population and wastewater flow projections, mapping showing the recommended improvements and a CIP including OPCC's for all projects in the CIP. J. Additional Project Meetings: FNI will attend up to two (2) additional project meetings as required to discuss project issues. R:\CrJ/ltracN.,etAgree\The Colony-Austin Ranch Sewer.doc SC-I FNI "1 J1 OWNER TIME OF COMPLETION Freese and Nichols is authorized to commence work on the Project upon execution of this Agreement and agrees to complete the services in accordance with the following schedule: Tasks A and B - FNI will attend the project kick-off meeting and review the population and wastewater flow projections within two weeks of receiving the notice to proceed. Tasks C, D, E, F and G - FNI will update the hydraulic model, distribute wastewater flows, evaluate the proposed collection system and the affects on downstream facilities and meet with the City to discuss the model results within three weeks following City approval of the population and wastewater flow projections. Tasks H and 1- FNI will prepare the CIP and the Wastewater Master Plan Amendment for Austin Ranch within three weeks following the meeting with the City to discuss the model results. If Freese and Nichols' services are delayed through no fault of Freese and Nichols, Freese and Nichols shall be entitled to equitable adjustment of compensation and Freese and Nichols shall be entitled to adjust contract schedule consistent with the number of days of delay. RESPONSmILITIES OF CITY CITY shall perform the following in a timely manner so as not to delay the services of Freese and Nichols: A. Designate in writing a person to act as CITY's representative with respect to the services to be rendered under this Agreement. Such person shall have contract authority to transmit instructions, receive information, interpret and define CITY's policies and decisions with respect to Freese and Nichols' services for the Project. B. Provide all criteria and full information as to CITY's requirements for the Project, including design objectives and constraints, space, capacity and performance requirements, flexibility and expandability, and any budgetary limitations; and furnish copies of all design and construction standards which CITY will require to be included in the plans and specifications. C. Assist Freese and Nichols by placing at Freese and Nichols' disposal all available information pertinent to the Project including previous reports and any other data relative to the Project. D. Arrange for access to and make all provisions for Freese and Nichols to enter upon public and private property as required for Freese and Nichols to perform services under this Agreement. E. Examine all studies, reports, sketches, drawings, specifications, proposals and other documents presented by Freese and Nichols, obtain advice of an attorney, insurance counselor and other consultants as CITY deems appropriate for such examination and render in writing decisions pertaining thereto within a reasonable time so as not to delay the services of Freese and Nichols. F. CITY shall make or arrange to have made all subsurface investigations, including, but not limited, to borings, test pits, soil resistivity surveys, and other subsurface explorations. CITY shall also make or arrange to have made the interpretations of data and reports resulting from such investigations. All costs associated with such investigations shall be paid by CITY. Provide such accounting, independent cost estimating and insurance counseling services as may be required for the Project, such legal services as CITY may require or Freese and Nichols may reasonably request with regard to legal issues pertaining to the Project. Not to Exceed: The total fee for Basic Services shall be computed on the basis of the Schedule of Charges but shall not exceed Twenty Three Thousand Two Hundred Sixty Seven Dollars ($23,267). IfFNI sees the Scope of Services changing so that Additional Services are needed, including but not limited to those services described as Additional Services, FNI will notify OWNER for OWNER's approval before proceeding. Additional services shall be computed based on the Schedule of Charges. B. Schedule of Charees: Staff Member Salary Cost Times Multiplier of 2.26 Resident Representative Salary Cost Times Multiplier of 2.0 Salary Cost is defined as the cost of payroll of engineers, draftsmen, stenographers, surveymen, clerks, laborers, etc., for the time directly chargeable to the project, plus social security contributions, unemployment compensation insurance, retirement benefits, medical and insurance benefits, longevity payments, sick leave, vacation and holiday pay applicable thereto. (Salary Cost is equal to 1.632 times payroll. This factor is adjusted annually.) Other Direct Expenses Actual Cost Times Multiplier of 1.10 Other direct expenses shall include outside printing and reproduction expense, communication expense, travel, transportation and subsistence away from Fort Worth and other miscellaneous expenses directly related to the work, including costs of laboratory analysis, test, and other work required to be done by independent persons other than staff members.
