A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF THE
COLONY, TEXAS, APPROVING THE TERMS AND CONDITIONS OF
THE ENGINEERING SERVICES CONTRACT BY AND BETWEEN THE
CITY OF THE COLONY AND FREESE AND NICHOLS, INC. FOR A
LIFT STATIONS INVENTORY AND LIMITED CONDITION
ASSESSMENT, WHICH IS ATTACHED HERETO AND
INCORPORATED HEREIN AS EXHIBIT "A"; AUTHORIZING THE
CITY MANAGER TO EXECUTE THE CONTRACT; AND PROVIDING
AN EFFECTIVE DATE
WHEREAS, the City and Consultant have entered into an agreement such that the
Consultant is to provide the following services: A LIFT STATIONS INVENTORY AND
LIMITED CONDITION ASSESSMENT; and
WHEREAS, the City has determined that it is in the best interest of the City to enter into
the Contract with FREESE AND NICHOLS, INC. which is attached hereto and incorporated
herein by reference as Exhibit "A," under the terms and conditions provided therein; and
WHEREAS, with this Contract the City of The Colony is agreeing to pay the sum not to
exceed $44,000 for such work.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF THE COLONY, TEXAS, THAT:
Section 1. The Engineering Services Contract, which is attached and incorporated hereto as
Exhibit "A", having been reviewed by the City Council ofthe City of The Colony, Texas, and found
to be acceptable and in the best interest of the City and its citizens, be, and the same is hereby, in all
things approved in the amount of $40,000 as the base amount, plus a $4,000 contingency amount
for a total not to exceed $44,000, and the City Manager is hereby authorized to execute the Contract
on behalf of the City of The Colony, Texas.
Section 2. That this Resolution shall take effect immediately from and after its adoption
and it is so resolved.
PASSED AND APPROVED by the City Council of the City of The Colony, Texas, this
16th day of April. 2007.

SCOPE OF SERVICES
The Colony Lift Stations Inventory and Limited Condition Assessment
BASIC SERVICES: Freese and Nichols, Inc., (hereinafter "FNI") shall render the following
professional services in connection with the development of thi5 Task Order:
This Task Order consists of professional engineering services for the City of The Colony
(hereinafter "OWNER") for the following items: Provide a mechanical and electrical equipment
inventory and condition assessment of six (6) lift stations owned and operated by The City of The
Colony, not including Master Lift Station 1, the WWTP Influellt Lift Station and the Wynnwood
Peninsula Lift Station. The assessment will also document tOe structural condition of the lift
stations, corrosion issues, emergencylbackup power and recommend SCADA improvements.
Each lift station will be reviewed against TCEQ criteria to identifY other areas that warrant
improvements. The following is the detailed scope of work for this Task Order:
1. Determine and provide and inventory of the existing lift station capacity, wet well size,
and other possible hydraulic concerns at each lift station.
2. Review of TCEQ design criteria to identifY areas that may require further evaluation.
3. Determine pumping improvements required to meet projected capacities based on
projected flow rates in the Master Plan Report.
4. Develop an inventory and the existing condition assessment of mechanical and electrical
equipment at each lift station.
5. Determine the general structural condition of the lift station and supporting
appurtenances. The structural assessment will be based on visual observations only and
will not include structural analyses.
6. Visual observations will be limited to areas above the high level water line made
available to FNI for observation. Observations within enclosed areas requiring a
confined space entry will not be made.
7. Determine power and control improvements to meet any increased pumping capacities.
8. A one day site visit to all six lift stations will be included to collect pertinent data and
perform visual assessments of each of the six lift stations included in the scope of this
project. One (I) separate additional meeting is included in the scope to allow for further
discussion and coordination with The Colony.
9. Provide five copies of a draft report at 60% completion phase for City review and
comment and five copies of the final report that delineates the final assessment for all six
lift stations.
ADDITIONAL SERVICES
Additional Services to be performed by FNI, if authoriZed by OWNER, which are not
included in the above described basic services, are described as follows:
a. Site surveying and geotechnical investigation services.
b. Field layouts or the furnishing of construction line and grade surveys.
c. Assessments or evaluation requiring confined space entry and dewatering of
existing wetwells.
d. Any non-destructive testing required for structural assessment.
e. GIS mapping services or assistance with these services.
f. Making property, boundary and right-of-way surveys, preparation of easement and deed
descriptions, including title search and examination of deed records.
g. Providing services to investigate existing conditions ot facilities, or to make measured
drawings thereof, or to verifY the accuracy of drawings or other information furnished by
OWNER.

h. Providing renderings, model, and mock-ups requested by the OWNER.
1. Making revisions to reports, drawings, specifications or other documents when such
revisions are 1) not consistent with approvals or instructions previously given by
OWNER or 2) due to other causes not solely within the control ofFNI.
J. Preparing applications and supporting documents for government grants, loans, or
planning advances and providing data for detailed applications.
k. Design, contract modifications, studies or analysis required to comply with local, State,
Federal or other regulatory agencies that become effective after the date of this
agreement.
l. Design and construction phase services for the recommendations provided in this
assessment.
m. Visits to the site in excess of the number of trips included in Basic Services for periodic
site visits, coordination meetings, or contract completion activities.
n. Providing services after the completion of the inventory and condition assessment not
specifically listed in Basic Services.
o. Providing basic or additional services on an accelerated time schedule. The scope of this
service includes cost for overtime wages of employees and consultants, inefficiencies in
work sequence and plotting or reproduction costs directly attributable to an accelerated
time schedule directed by the OWNER.
p. Providing services made necessary because of unforeseen, concealed, or differing site
conditions or due to the presence of hazardous substances in any form.
q. Preparing statements for invoicing or other documentation for billing other than for the
standard invoice for services attached to this professional services agreement.
TIME OF COMPLETION: FNI is authorized to commence work on performing these services
upon execution of this AGREEMENT and agrees to complete the services within 150 days of
notice to proceed.
IF FNI's services are delayed or suspended in whole or in part by OWNER for more than 90 days
through no fault of FNI, FNI shall be entitled to equitable adjustment of rates and amounts of
compensation.
RESPONsmILITIES OF OWNER: OWNER shall perform the following in a timely manner
so as not to delay the services of FNI:
1. Designate in writing a person to act as OWNER's representative with respect to the services
to be rendered under this AGREEMENT. Such person shall have contract authority to
transmit instructions, receive information, interpret and define OWNER's policies and
decisions with respect to FNI's services for the Project.
2. Assist FNI by placing at FNI's disposal all available information pertinent to the services
provided including previous reports and any other data relative to the work performed
3. Examine all studies, reports, sketches, drawings, specifications, proposals and other
documents presented by FNI, obtain advice of an attorney, insurance counselor and other
consultants as OWNER deems appropriate for such examination and render in writing
decisions pertaining thereto within a reasonable time so as not to delay the services of FNI.
4. Furnish approvals and permits from all governmental authorities having jurisdiction over the
Project and such approvals and consents from others as may be necessary for completion of
the Project.
S. Give prompt written notice to FNI whenever OWNER observes or otherwise becomes aware
of any development that affects the scope or timing of FNI's services.

6. Bear all costs incident to compliance with the requirements of the Responsibilities of

COMPENSATION
COMPENSATION: FNI proposed to furnish our services as described herein in accordance to
Attachment CO, "Compensation". The total fee for the Basic Services shall be computed on the
basis of the Attachment CO for the lump sum fee of $40,000.
If FNI sees the Scope of Services changing so that Additional Services are needed, FNI will
notifY OWNER for OWNER's approval before proceeding. Additional services shall be
computed based on the Schedule of Charges.

OTHER DIRECT EXPENSES
Other direct expenses are reimbursed at actual cost times multiplier of 1.15. They include
outside printing and reproduction expense, communication expense, travel, transportation
and subsistence away from Dallas and other miscellaneous expenses directly related to
the work, including costs of laboratory analysis, tests, and other work required to be done
by independent persons other than staff members.
