HomeMy WebLinkAboutResolution No. 07-007 RESOLUTION NO. 07- O() 1 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF THE COLONY, TEXAS, APPROVING THE TERMS AND CONDITIONS OF THE DEVELOPER AGREEMENT WITH INDUSTRIAL PROPERTIES CORPORATION PROVIDING FOR IMPACT FEE CREDIT FOR THE CONSTRUCTION OF MEMORIAL DRIVE AND THE EXHIBITS THERETO, WHICH IS ATTACHED HERETO AND INCORPORATED HEREIN AS ATTACHMENT "I"; AUTHORIZING THE CITY MANAGER TO EXECUTE THE AGREEMENT; PROVIDING A REPEALER CLAUSE; AND PROVIDING AN EFFECTIVE DATE WHEREAS, Industrial Properties Corporation ("Developer") desires to construct certain public improvements within the City of The Colony to wit: roadway construction, including the construction of water, wastewater, and storm water facilities as depicted in Exhibit "A" of the Developer Agreement, which is attached hereto and incorporated herein by reference as Attachment "1," on and for the benefit of the Property and the City; and WHEREAS, upon completion of the construction, the City agrees to provide a non- transferable credit against any future payment of impact fees in favor of the Developer in an amount not to exceed one hundred eighteen thousand, six hundred and seventy-eight dollars and no cents ($118,678.00) for the construction of water facilities, Eighty eight thousand, six hundred and seventy-nine dollars and no cents ($88,679.00) for wastewater construction, and Six hundred fifty two thousand, two hundred and thirty-seven dollars and no cents ($652,237.00) for roadway construction; and WHEREAS, the City and Developer desires to enter into the Developer Agreement, which is attached hereto and incorporated herein as Attachment "1," to formalize the agreement between the parties regarding the obligations of each party as provided therein; and WHEREAS, the City Council has determined it to be in the best interest of the City to approve the Developer Agreement with Industrial Properties Corporation, which is attached hereto and incorporated herein as Attachment "1" and to authorize the City Manger to execute the same. NOW THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF THE COLONY, TEXAS THAT: Section 1. The City Council hereby approves the terms and conditions of the Developer Agreement, and the Exhibits thereto, by and between the City of Colony, Texas, and Industrial Properties Corporation, for the construction of Memorial Drive, which is attached hereto and incorporated herein as Attachment "I." Section 2. That the City Manager is hereby authorized to execute all appropriate documents to enter into said Agreement as provided for herein. Section 3. This Resolution shall become effective immediately from and after its passage, as the law and charter in such cases provides. Q. .... ."_~/v '~ ',' ,r: 'k i; '6 ,{o:;,J 'C~;;;;rf)ff.W Page 2 76.000.IPC.01022007CDB J STATE OF TEXAS ~ ~ ~ DEVELOPMENT AGREEMENT COUNTY OF DENTON This Development Agreement (the "Agreement") is made by and between the City of The Colony, a Texas Home Rule Municipality (the "City"), and Industrial Properties Corporation (the "Developer") (the City and the Developer are hereinafter referred to together as the "Parties"). RECITALS WHEREAS, the Developer constructed certain public improvements within the City of The Colony to wit: roadway construction, including the construction of water, wastewater, and storm water facilities within the Memorial Drive right-of-way dedication as depicted in Exhibit "A" which is attached hereto and incorporated herein by reference and as recorded in the plat records of Denton County, Texas Cabinet V, Slide 730 through 732 (hereinafter referred to as the "Project"), on and for the benefit of the Property and the City; and WHEREAS, in consideration of Developer's construction of the Project, the City shall provide a credit against any future payment of impact fees in favor of the Developer in an amount not to exceed one hundred eighteen thousand, six hundred seventy-eight dollars and no cents ($118,678.00) for the construction of water facilities, Eighty eight thousand, six hundred seventy-nine dollars and no cents ($88,679.00) for wastewater construction, and Six hundred fifty two thousand, two hundred thirty-seven dollars and no cents ($652,237.00) for roadway construction; and WHEREAS, the Parties desire to enter into an agreement pursuant to TEXAS LOCAL GOVERNMENT CODE, Section 212.071 et Seq.; NOW, THEREFORE, for and in consideration of the above and foregoing premises, and other good and valuable consideration, the sufficiency and receipt of which are hereby acknowledged, the Parties hereby agree as follows: ARTICLE I Incorporation of Premises The above and foregoing premises are true and correct and are incorporated herein and made a part hereof for all intents and purposes. DEVELOPMENT AGREEMENT - PAGE 1 69472 ARTICLE II Definitions 2.1 "City" shall mean the City of The Colony, Texas 2.2 "City Engineer" shall mean the City of The Colony City Engineer, or designee. 2.3 "Commencement of Construction" shall mean the grading and/or preparation of Memorial for extension and construction. 2.4 "Completion of Construction" shall mean: (i) substantially completed in accordance with the approved plans; and, (ii) the Project has been accepted by the City. 2.5 "Construction Documents" shall mean those certain record plans and specifications prepared by Halff Associates, Inc., dated Octobe~ 20, 2004, submitted for the design, installation and construction of the Project, and approved by the City. 2.6 "Developer" shall mean Industrial Properties Corporation. 2.7 "Effective Date" shall mean the last date of execution of this Agreement. 2.8 "Property" shall mean the property described in Exhibit "B," which is attached hereto. 2.9 "Project" shall collectively mean the Project constructed by the Developer. ARTICLE III Agreement 3.1 The Developer dedicated to the City of The Colony right-of-way as depicted in Exhibit "A" for the construction of the Project. 3.2 Proiect Construction. A. The Developer has built, designed, constructed and installed the Project in accordance with the Construction Documents without cost to the City. The Developer constructed the Project after City approval of the Construction Documents and receipt of all necessary right-of-way dedication documents and other permits necessary for Developer to commence construction, and caused Completion of Construction of the Project. B. The Developer has extended and constructed, in accordance with the Construction Documents, Memorial Drive, extending from approximately six hundred feet (600') west of the intersection with FM 423 approximately 3,500 feet westward to its point of intersection with Standridge Drive, together with the construction of all water, wastewater, and storm water facilities, as depicted on the Construction Documents. C. The City agrees to credit the Developer or successors in interest of the property assessment and payment of impact fees, if any, for the Property depicted in Exhibit "B," in an amount not to exceed one hundred eighteen thousand, six hundred seventy-eight dollars and no cents ($118,678.00) for the construction of water facilities, Eighty eight thousand, six hundred seventy-nine dollars and no cents ($88,679.00) for wastewater construction, and Six hundred fifty two thousand, two hundred thirty-seven dollars and no cents ($652,237.00) for roadway construction in accordance with the Construction Documents. The Developer has provided the City Engineer with copies of all invoices and records showing the total cost of the design, construction, and installation of the Project, and will provide such other information as may be reasonably requested by the City Engineer to verify such costs. ARTICLE IV Miscellaneous 5.1 Parties Bound; Assh!nment. This Agreement shall be binding upon and inure to the benefit of the Parties hereto and their respective legal representatives, successors and assigns and shall be a covenant running with the land. This Agreement may not be assigned, transferred or otherwise conveyed by the Developer without the prior written consent of the City. This Agreement shall not be recorded in the public land records without the written consent of Developer and City. 5.2 Notice. All notices required by this Agreement shall be in writing and addressed to the following, or such other party or address as either party designates in writing, by certified mail, postage prepaid or by hand delivery. The persons executing the same are authorized to execute this agreement on behalf of each ofthe respective parties. 5.4 Governinf! Law. This Agreement shall be governed by and construed in accordance with the laws ofthe State of Texas. Venue shall be in Denton County, Texas. 5.5 Lef!al Construction. In case anyone or more of the provisions contained in this Agreement shall for any reason be held to be invalid, illegal or unenforceable in any respect, such invalidity, illegality or unenforceability shall be construed as if such invalid, illegal or unenforceable provision had never been contained herein. DEVELOPMENT AGREEMENT -PAGE 3 69472 5.6 Entire Al!:reement. This Agreement constitutes the entire agreement and understanding between the City and the Developer. This Agreement may only be changed or modified with the written consent of the Developer and the City Council. Such modification may be requested by either party, but shall not, in any event, be effective unless and until approved by the City Council of the City.
