ORDINANCE NO.
AN ORDINANCE OF THE CITY OF THE COLONY, TEXAS,
AUTHORIZING THE CITY MANAGER TO ENTER INTO A
AGREEMENT WITH DIAMOND SHAMROCK FOR FLEET VEHICLE
FUEL SERVICING;ATTACHING THE APPROVED FORM OF
CONTRACI' AS EXHIBIT "A"; AND PROVIDING AN EFFECTIVE
DATE
BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF THE COLONY,
TEXAS:
Section 1. That the City Manager of the City of The Colony, Texas is hereby
authorized to execute on behalf of the City a agreement with Diamond Shamrock for fleet
vehicle fuel servicing. The approved form of such contract is attached hereto as Exhibit "A",
and made a part hereof for sLich purposes.
Section 2. This Ordinance shall take effect immediately from and after its passage
by the City Council of the City of The Colony, Texas.
DULY PASSED AND APPROVED by the City Council of the City of The Colony,
Texas, on this the 19th day of October, 1992.

Gentlemen:
Diamond Shamrock is pleased to offer the attached bid for Fleet
Vehicle Fuel Servicing to the City of the Colony.
Our Company is very competitive in the market and we offer a Fleet
System which is thorough and very unique. We have a full
administrative staff located at our corporate offices in San
Antontio who are on call to assist you and your staff with all
your needs. Additionally, David McLain, manager, fleet sales,
Dallas/Ft Worth, and an aministrator will be available to service
your account. We at Diamond Shamrock not only value your
business, but believe in service as well.
Additionally, since we have a number of incorporated cities
currently using our system for their different agencies, we have
experience in meeting the needs of municipalities.
Based upon the above, we feel that the City of the Colony would
maximize their fuel dollars through Diamond Shamrock's Fleet
System. All of us at Diamond Shamrock are anxious to count the
City of The Colony among our valued Fleet Card customers. Rest
assured that each of us at Diamond Shamrock will put forth maximum
effort to guarantee your satisfaction.

FLEET FUELING SERVICES
Based upon the invitation for bid received from the City of the Colony,
Diamond Shamrock is pleased to respond as applicable by paragraph as outlined in
the Request for Proposals dated September 30, 1992:

Diamond Shamrock Corner Store #785 is located at 4907
Main, The Colony, Tx. Hours of operation are 5:00AM to
12:00AM. Three (3) grades of unleaded product are
available at this location.
A UTHORIZA TION CARDS
Diamond Shamrock's Fleet Fueling System is operated
through our Point-of-Sale (POS) equipment at ALL
locations. Details of the Fleet Fueling System are
provided in the attached Brochure entitled "Commercial
Fleet Fueling" and marked Exhibit A.
o AUTHORIZED PERSONNt?L
The City will provide Diamond Shamrock with a listing of
authorized users. Each user will be provided with a
driver and PIN number (issued by the City), which will
provide security access to usage of any card in the
system.
Employees will refuel vehicles at self-service pumps.
Each transaction will then require the entry of
authorization code by the employees into the POS
equipment (i.e. driver, PIN and odometer reading). Each
transaction receipt will be signed by the City employee
and City employee will retain tissue copy.

o AUTHORIZED VEHICLES
Upon receipt of a listing of authorizd vehicles from the
City, credit cards will be issued by vehicle.
COMPUTERIZED PRINTO~
A Vehicle, Driver, and Summary Report will be provided to
you monthly. See attached Exhibit A for examples of
reports.
GENERAL CONDITIONS
o The Fleet Card system will allow YOU to establish the
purchasing parameters for your staff.
o Monthly reports can be supplied by specific departments -
thus eliminating expensive clerical time in order to
track purchases by departments within your city.
o Diamond Shamrock fuel is priced as competitively as
possible within each market area.
o You may participate in Diamond Shamrock's Frequent Filler
Program (available at participating locations).
o You will have access to a fleet sales manager and
administrative support staff to insure that your needs
are met.
o The City may at any time request clarification of
information submitted on the following pages nd to
request additional information on one or more points.

FUEL SPEC1FICA TIONS
o Specifications are attached as Exhibits, B, C, & D.
REPORTING AND INVOICING
o Accounts will be structured by department per City's
instructions. The City will receive invoicing and
vehicle, driver and summary reports on a monthly basis.
An example of the reports are detailed in the attached
brochure marked Exhibit A.
o To the extent that The City is eligible for tax
exemption, a credit will be applied to the monthly
statement. Diamond Shamrock will provide the appropriate
tax exemption certificate for signature.
o Frequent filler stamps, if used, can be credited to the
statement.
AVAILABILITY OF FUELING SYSTEM
o Upon receipt of a listing of vehicles/drivers and
applicable information from The City, Diamond Shamrock
will issue credit cards and imlement training of The City
staff on card usage. Pending availability of The City
staff, system can be implemented in 7-10 working days
from receipt of information.
o Diamond Shamrock's Fleet Card Program will be
implemented and cards issued in accordance with the
policies, procedures, terms and provsions set forth in
the "Commercial Fleet Fueling" brochure, marked Exhibit
A, attached hereto; which constitutes and forms a part of
this Agreement.

CHARGES
o The cost for the Diamond Shamrock Fleet System is $1.00
per card per month. There are no sign-up fees, card
replacement fees, or additional administration fees.
o The City will pay at "at the pump" prices for any fltel
purchased with the credit price not to cash price.
