RESOLUTION NO. 2016- 02.3
A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF THE
COLONY, TEXAS, AUTHORIZING THE CITY MANAGER TO
EXECUTE AN AGREEMENT FOR AIR SPACE EASEMENT AND
RESTRICTION OF BRIDGE HEIGHT BY AND BETWEEN THE CITY
OF THE COLONY AND TRIBUTE PARTNERS, LP, WHICH IS
ATTACHED HERETO AND INCORPORATED HEREIN AS EXHIBIT
"A" ; PROVIDING AN EFFECTIVE DATE
WHEREAS, the City and Developer have entered into an AGREEMENT FOR AIR
SPACE EASEMENT AND RESTRICTION OF BRIDGE HEIGHT for the purpose of granting
an easement for air space and access over, above, and adjacent to Bridge Lane located in the
Tribute Subdivision, The Colony, Texas; and,
WHEREAS, the City Council has determined that it is in the best interest of the City to
enter into the Agreement with Tribute Partners, L.P., which is attached hereto and incorporated
herein by reference as Exhibit"A"under the terms and conditions provided therein.
THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF
THE COLONY,TEXAS THAT:
Section 1. The Agreement,which is attached hereto and incorporated herein as Exhibit "A"
having been reviewed by the City Council of the City of The Colony, Texas, is found to be
acceptable and in the best interest of the City and its citizens.
Section 2. The City Manager is hereby authorized to execute the Agreement on behalf of
the City of The Colony,Texas.
Section 3. This Resolution shall take effect immediately from and after its adoption and
it is so resolved.

§ AND RESTRICTION OF BRIDGE HEIGHT
COUNTY OF DENTON §
This Agreement for Air S ce Ease ent and Restriction of Bridge Height (this
"Agreement") is granted on they'"stay of , 2016, by the City of The
Colony, a Texas home rule municipality ("Gran or"), with offices at 6800 Main Street, The
Colony, Texas 75056, in the capacity as the owner of Parcel 1 (as defined below) to Tribute
Partners, L.P., a Texas limited partnership ("Grantee"), with offices at 320 W. Main Street,
Lewisville, Texas 75057, in the capacity as the owner of Parcel 2 (as defined below).
RECITALS:
WHEREAS, on or about the date of this Agreement, Grantee dedicated to Grantor, and
Grantor is now the owner of, that certain land with the roadway improvements contained thereon
commonly known as Bridge Lane, located in the City of The Colony, Texas and being more
particularly described in Exhibit B, which is attached hereto and incorporated herein by
reference("Parcel 1"); and
WHEREAS, Grantee is the owner of that certain land located in the City of The Colony,
Texas and being more particularly described in Exhibit C, which is attached hereto and
incorporated herein by reference("Parcel 2"); and
WHEREAS, prior to the dedication of Parcel 1 to Grantor, a golf cart bridge and
pedestrian walkway was constructed on Parcel 2 across Parcel 1 (the"Bridge");
WHEREAS, Grantor desires to convey to Grantee an easement for air space and access
over, above and adjacent to such roadway improvements located on Parcel 1 for the exclusive
benefit of Parcel 2 so that the Bridge can remain in place; and
WHEREAS, Grantor and Grantee have consented and agreed to the placement of such
perpetual, irrevocable easement with restrictive covenants on the respective parcels of real
property.
NOW, THEREFORE, in consideration of the sum of ten dollars ($10.00) and other
good and valuable consideration, Grantor hereby grants, sells and conveys to Grantee, its
successors and assigns forever, for the benefit of Parcel 2 and each and every part thereof, an
exclusive, irrevocable and permanent easement over and across that certain tract of real property
described in Exhibit A attached hereto and incorporated herein (the "Easement Area") for the
purpose of maintaining, repairing, operating and reconstructing the Bridge for use by Grantee
and its successors, assigns, and invitees upon the following terms:
1. Air Space Restrictions. Grantor will permit the Bridge to exist within the air
space over the Easement Area at a height not less than sixteen feet (16') from grade the

Easement Area. The current grade of the Easement Area in relation to the Bridge is noted on
Exhibit D, which is attached hereto and incorporated herein. If the Bridge is damaged or
destroyed, Grantee may replace the Bridge within the air space of the Easement Area with the
same minimum height requirement as set forth in this paragraph.
2. Easement. It is the intent of the parties to this Agreement that the easement
granted by this Agreement is exclusive for the use provided for herein. Therefore, Grantor
covenants and agrees that no building, structure or other improvement will be allowed to exist on
Parcel 1 within the Easement Area other than the roadway improvements. Grantee or its
successors or assigns must pay for ongoing maintenance and repair of the Bridge at their sole
cost and expense. Grantee and its successors and assigns will hold Grantor and its successors
and assigns harmless against any cost, expense (including any reasonable costs incurred in
connection with any claims interposed or asserted by any unrelated third party relating to the
Bridge) and/or liability incurred by Grantor in connection with the maintenance, operation,repair
and reconstruction of the Bridge. TO HAVE AND TO HOLD the rights and interests described
unto Grantee and its successors and assigns, forever, and Grantor does hereby bind itself and its
successors, assigns and legal representatives to warrant and forever defend, all and singular, the
herein-described easement and rights and interests unto Grantee and its successors and assigns
against every person whomsoever lawfully claiming, or to claim some, or any part thereof, by,
through or under Grantor, but not otherwise, subject to any reservations, exceptions, and
restrictions of record and the terms,provisions and conditions herein.
3. Further Assurances. Grantor, at the request of Grantee, will promptly execute,
acknowledge and deliver all such documents, including,without limitation,an amendment to this
Agreement, if necessary,to accomplish, confirm or further evidence the terms of this Agreement.
4. Permanence. The easement granted by this Agreement will be permanent and
will run with the land of Parcel 1 and Parcel 2, and no violation of any term or provision hereof
will result in a forfeiture or reversion of the rights granted hereunder. Except as herein
specifically set forth, Grantee and Grantor will retain their full ownership and control of their
respective properties.
5. Breach of Agreement. Both parties agree, that in the event of any breach or
threatened breach of this Agreement by Grantor, Grantee will have the right to any remedy
available at law or equity including but not limited to injunctive relief.
6. No Oral Modification. This Agreement may not be modified or terminated orally,
but may be modified or terminated only by a written agreement by Grantor and Grantee or their
respective successors or assigns.

LEGAL DESCRIPTION
Being a parcel of land located in the City of the Colony, Denton County, Texas,
a part of the Thompson D. Luckett Survey, Abstract No. 752, and being a part
of Tract 3 called 107.317 acres as described in deed to Tribute Partners, L.P.
as recorded in Document Number 2010-69114, Denton County Deed Records,
and being further described as follows:
COMMENCING at a one—half inch iron rod with yellow cap stamped "JBI" found
at the southwest corner of Lot 1, Block B, The Tribute New Course, an addition
to the City of The Colony as recorded in Cabinet Y, Page 59, Denton County
Plat Records;
THENCE South 66 degrees 33 minutes 04 seconds East, 143.46 feet along the
south line of said Lot 1, Block B to the POINT OF BEGINNING of this easement;
THENCE South 66 degrees 33 minutes 04 seconds East, 21.00 feet along the
