A RESOLUTION OF THE CITY OF THE COLONY, TEXAS,
APPROVING THE TERMINATION OF THE AUSTIN RANCH NO. 6
DEVELOPMENT AGREEMENT AND THE FIRST AMENDMENT TO
THE DEVELOPMENT AGREEMENT BY AND BETWEEN THE CITY
OF THE COLONY AND THE RESIDENCES OF AUSTIN RANCH, NO. 6,
LTD.; AUTHORIZING THE CITY MANAGER TO EXECUTE SAID
TERMINATION AGREEMENT; AND PROVIDING AN EFFECTIVE
DATE.
WHEREAS,the City and Developer have met all provisions in the original Development
Agreement No. 6 and the First Amendment to the Development Agreement and now desire to
terminate the developer agreements; and
WHEREAS, all infrastructure improvements have been made and accepted; and
WHEREAS, all Certificates of Occupancies for all buildings have been issued by the
City of The Colony.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF THE COLONY, TEXAS:
Section 1. The City and Developer represent that all the Affirmative Obligations
pursuant to Section 4 of the Development Agreement are complete.
Section 2. The City and Developer hereby terminate any and all of the restrictions
and the Development Agreement shall hereafter be of no further force or effect.
Section 3. That the city manager is authorized to execute the Termination of
Development Agreement on behalf of the City.
Section 4. That a copy of the Termination of Development Agreement is hereby
attached and incorporated herein as Exhibit "A".
Section 5. That this Resolution shall take effect immediately from and after its
adoption and it is so resolved.

TERMINATION OF DEVELOPMENT AGREEMENT
��l�jhis Termination of Development Agreement(this "Agreement") is made this 2 day of
. iY, ,_ , 2014, by and between the CITY OF THE COLONY, TEXAS, a Texas
home-rule municipality (hereinafter referred to as the "City") and THE RESIDENCES OF
AUSTIN RANCH NO. 6, LTD., a Texas limited partnership, (hereinafter referred to as the
"Developer"), as follows:
WITNESSETH :
WHEREAS, the City and the Developer entered into that certain Development
Agreement, dated July 19, 2011, recorded on August 22, 2011, under Instrument Number: 2011-
78319 in the Official Records of Denton County, Texas, as amended by that certain First
Amendment and as further amended(collectively, the"Development Agreement");
WHEREAS, pursuant to Section 5(d) of the Development Agreement, the Development
Agreement shall terminate upon completion of the Affirmative Obligations as specified in
Section 4 of the Development Agreement;
WHEREAS, pursuant to the terms and conditions of the Development Agreement, the
City and Developer now desire to terminate the Development Agreement.
THEREFORE, for and in consideration of Ten and No/100 Dollars ($10.00), and other
good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged
and confessed, Owner hereby agrees, abandons and terminates as follows:
1. City and Developer represent that all the Affirmative Obligations pursuant to
Section 4 of the Developer Contract are completed.
2. City and Developer hereby terminate that any and all of the restrictions and the
Development Agreement shall hereafter be of no further force or effect.
3. This Development Agreement may be executed in multiple counterparts, each of
which shall constitute an original, but all of which shall constitute one document.

a Texas limited partnership, PBC 14 AR LAND, LTD., a Texas limited partnership, and AR1
LAND, LTD., a Texas limited partnership (collectively, the owners of the Building Setback
Area the "Owners") and the City of The Colony, Texas, a Texas home-rule municipality
(the "City"), as follows:
WITNES SETH:
WHEREAS, Crow-Billingsley UMF Plano, Ltd., a Texas limited partnership, entered
into that certain Declaration, for the benefit of the City, of Building Setback Area,
dated August 13, 2004, recorded on August 19, 2004, under Document Number: 110475 in
the Official Records of Denton County, Texas ("Declaration");
WHEREAS, the Owners and the City now desire to terminate the Declaration as there
remains no benefit to the City or the Owners to continue with the Building Setback Area;
THEREFORE, for and in consideration of Ten and No/100 Dollars ($10.00), and other
good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged
and confessed, Owners and the City hereby agree and terminate as follows:
1. Owners and the City hereby terminate the Declaration and the Declaration shall
hereafter be of no further force or effect.
2. This Agreement may be executed in multiple counterparts, each of which shall
constitute an original, but all of which shall constitute one document.
