HomeMy WebLinkAboutResolution No. 2014-058CITY OF THE COLONY, TEXAS RESOLUTION NO. 2014- lg A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF THE COLONY, TEXAS AUTHORIZING THE CITY MANAGER TO EXECUTE A SERVICE AGREEMENT CONTRACT BY AND BETWEEN THE CITY OF THE COLONY AND CGSERV ELECTRIC TO PROVIDE FOR THE CONSTRUCTION, MAINTENANCE, POWER, AND INSTALLATION OF LEI) S'T'REET LIGATING IN THE PUBLIC RIGHT OF WAY OF THE GRANASCAPEDEVELOPMENT; PROVIDING AN EF'FECTI'VE DATE THEREFORE, BE COUNCIL THE CITY OF THE COLONY, TEXAS: Section 1. That the City Council of the City of The Colony, Texas finds it the best interest of its citizens to authorize a service agreement contract with CGSERV Electric, incorporated herein as Exhibit "A" and under the terms and conditions provided therein. Section 3. That funding in the amount of $80.33 per single fixture and $100.38 per double fixture will be reimbursed to the city by the Tax Increment Reinvestment Zone Number One on a monthly basis per the terms of the Nebraska Furniture Mart and City of The Colony Reimbursement Agreement. Section 4. That the City Manager is hereby authorized to execute the five- year contract with CoSery Electric, which may be renewable annually thereafter per the agreement. Section S. AI`TE k J J)� 4& Christie Wilson, TRC, City Secretary Jc IvlcCour , Mayor City of The Colony, T APPROVED AS TO FORM: eff Moore,- guy Attorney This Agreement for Provision of LED Street Lighting Service (this "Agreement") is made to be effective for all purposes as of the Effective Date (as defined below), between DENTON COUNTY ELECTRIC COOPERATIVE, INC., d/b/a CoSery Electric, 7701 South Stemmons, Corinth, TX 76210-1842 (referred to herein as "COSERV"), and THE CITY of THE COLONY, TEXAS, 6800 Main Street, The Colony, Texas 75056 (referred to herein as the "Customer"), whereby COSERV shall provide LED street lighting service to the Customer at the locations identified on Exhibit A attached hereto and incorporated herein by this reference (the "Accounts"). 1. Term 1.1 This Agreement shall be effective for all purposes as of the date this Agreement is executed by COSERV (the "Effective Date"), and shall remain in effect until December 31, 2019 (the "Initial Term"). 1.2 After the Initial Term, this Agreement shall automatically renew for consecutive terms of one year each on January I of each year until terminated pursuant to this Agreement (the Initial Tenn, as it may be so renewed, referred to herein as the "Term"). 2. Termination 2.1 Termination by the Customer. 2.1.1 During the Term of this Agreement, the Customer may terminate this Agreement at any time for any reason by providing sixty (60) days prior written notice to COSERV and paying a termination fee to COSERV (the "Termination Fee") calculated as follows: Termination Fee = (Light Cost minus Depreciation) Limes Lights, where: • Light Cost = $6,168 for a single fixture LED street light and $7,414 for a double fixture LED street light; • Lights = Number of LED street lights shown in Exhibit A; ® Depreciation = (Light Cost divided by 300) times Months; and • Months = Number of months between the Service Date (as defined below) and the date of termination. 2.1.2 Upon the effective date of such termination, COSERV shall be obligated to provide electric service to the Accounts, and the Customer shall be obligated to pay for electric service from COSERV, all according to COSERV's Tariff, as 1 defined in Section 3.1 of this Agreement, and the applicable rate schedule in the Tariff. 2.1.3 During the Term of this Agreement, the Customer may terminate electric service to any of the LED light locations shown in Exhibit A at any time for any reason by providing sixty (60) days prior written notice to COSERV, paying the Termination Fee to COSERV (except that, for purposes of the Termination Fee calculation pursuant to this Section 2.1.3, the "Lights" included in such calculation shall be the number of LED light locations for which electric service is being terminated by Customer), paying the actual estimated cost to remove the LED lights requested by Customer for service termination, and paying any current and past amounts owed for provision of LED Lighting Service pursuant to this Agreement and the Tariff. 2.2 Termination by COSERV. 2.2.1 After the Initial Tenn, COSERV may terminate this Agreement at any time for any reason by providing sixty (60) days prior written notice to the Customer. 2.2.2 Upon termination of this Agreement by COSERV, electric service shall continue to be provided by COSERV to the Accounts according to COSERV's Tariff and the applicable rate schedule in the Tariff. 2.3 The termination of this Agreement shall not be construed to constitute a termination of the easements granted to COSERV prior to termination or to require COSERV to remove its electric distribution system from the Customer's property. 3. Electric Service 3.1 COSERV agrees to provide electric service to the Accounts and the Customer agrees to purchase electric service for the Accounts according to COSERV's Tariff for Electric Service, as amended from time to time and approved by COSERV's board of directors (hereinafter called the "Tariff'), and otherwise according to the terms and conditions of this Agreement. The Tariff is hereby made a part of this Agreement and is on file and available at COSERV's offices in Corinth, Texas. The Tariff shall govern any conflicts or inconsistencies between the Tariff and this Agreement, except that during the Term the Customer agrees to pay the Contract Rate (as defined in Section 4.1 of this Agreement) and all other charges for such electric service according to the terms and provisions of this Agreement. 3.2 Point of Delivery. The Point of Delivery at each LED street light shall be the point of connection of COSERV's electric service conductors to the electric wiring within the LED street light pole. N 3.3 Type of Service. LED street lights are 210 Watt LED fixtures and include the pole and fixture as shown and specified in Exhibit B attached hereto and incorporated herein by this reference. At any time during the Term of this Agreement, COSERV may provide a reasonable substitute for the pole and fixture shown in Exhibit B for the purpose of repairing, maintaining, replacing or operating the LED street lights. Standard CoSery secondary electric service, as defined in the Tariff, shall be provided to each LED street light location. 3.4 Initiation of Service. Billing for provision of LED street lighting service shall begin on the date that electric service is energized by COSERV at a Point of Delivery (the "Service Date"). 4.1 During the Term of this Agreement and only for the purposes of this Agreement, the applicable rate schedule in the Tariff for calculation of electric bills for the Accounts shall be replaced with the rate schedule in the following Section 4.3 (the "Contract Rate"). All other applicable service rules, adjustments, fees and charges defined in the Tariff shall remain unchanged and in effect. 4.2 The Contract Rate may be changed, modified, or abrogated in whole or in part by any regulatory authority having jurisdiction to do so, whether or not at the request of COSERV, a customer, or otherwise. The Contract Rate may be changed by COSERV with approval of COSERV's Board of Directors to the extent Texas law does not require approval of changes by a regulatory authority; provided, however, that any increases to the Contract Rate that COSERV shall make shall be based on COSERV's direct and allocated costs to provide service to the Customer and the rate of return included in the rate shall be consistent with the rate of return included in the retail rates charged to other customer classes receiving electric service from COSERV. 4.3 Contract Rate. 4.3.1 Application. The Contract Rate shall apply to all electric service supplied to the Accounts. 4.3.2 Type of Service. Electric Service supplied under this Agreement shall be as specified in this Agreement. 3 4.3.3 Monthly Rate. The Contract Rate shall include all of the following, to be paid monthly by Customer: • LED Street Light Charge, Pole with Single 210 Watt Fixture: $ 80.33 per single fixture LED street light location ® LED Street Light Char gePole with Double 210 Watt Fixture: $100.38 per double fixture LED street light location 4.3.4 Billing Adjustments. The Contract Rate is subject to all applicable billing adjustments as defined in Section 203 of the Tariff. For the purpose of calculating the monthly Power Cost Recovery Factor charges or credits, the monthly kWh shall be: • LED street light with single 210 watt LED fixture (210 watts total)c 70 kWh per single fixture LED street light location • LED street light with double 210 watt LED fixture 420 watts total): 140 kWh per double fixture LED street light location 4.3.5 Payment Terms. Except that the applicable rate for electric service to the Accounts during the Term of this Agreement shall be the Contract Rate, the Customer shall pay for electric service in accordance with the applicable sections of the Tariff, including Section 324.6 (Terms of Payment) and Section 204.6 (Late Payment Fee). 5. Metering LED street lights provided pursuant to this Agreement shall be un -metered. 6. Miscellaneous 6.1 This Agreement shall be binding upon and inure to the benefit of the successors, legal representatives and assigns of the respective parties hereto. 6.2 This Agreement shall be construed in accordance with, and under the laws of, the State of Texas. 6.3 The provisions of this Agreement are severable, and in the event a portion of this Agreement is determined by a court of competent jurisdiction to be invalid, in whole or in part, the remaining provisions shall remain in full force and effect. 6.4 This Agreement may be executed in multiple counterparts, and each counterpart shall be considered as if it were an original. 0 6.5 This Agreement constitutes the complete and final agreement between the parties with respect to the subject matter hereof and may not be contradicted by evidence of prior or contemporaneous oral agreements of the parties.
