HomeMy WebLinkAboutResolution No. 2012-097 CITY OF THE COLONY, TEXAS RESOLUTION NO. 2012- A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF THE COLONY, TEXAS, AUTHORIZING THE MAYOR TO ENTER INTO AN ENCROACHMENT/LICENSE AGREEMENT BY AND BETWEEN THE CITY OF THE COLONY AND THE NEIGHBORHOODS OF AUSTIN RANCH ASSOCIATION, INC. ALLOWING FOR MONTUMENT SIGNAGE IN THE WINDHAVEN PARKWAY RIGHT-OF-WAY, AS PROVIDED IN EXHIBIT "A", WHICH IS ATTACHED HERETO AND INCORPORATED HEREIN; AND PROVIDING AN EFFECTIVE DATE. WHEREAS, the City of The Colony is the owner of the Windhaven Parkway dedicated right-of-way, as described in Exhibit A; and WHEREAS, the Neighborhoods of Austin Ranch Association, Inc. will erect a monument sign within said right-of-way; and WHEREAS, the City of The Colony previously agreed to an encroachment agreement in 2008; and WHEREAS, the City of The Colony has agreed to permit an encroachment under such right-of-way as provided in Exhibit "A". NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF THE COLONY, TEXAS: Section 1. That the City Council authorizes the mayor to execute the Encroachment/License Agreement as provided in Exhibit "A", which is attached hereto and incorporated herein. Section 2. That this Resolution shall take effect immediately from and after its adoption and execution. PASSED AND APPROVED BY THE CITY COUNCIL OF THE CITY OF THE COLONY, TEXAS, this 4th day of December, 2012. APPROVED: "I X J e McCourr', Mayor City of The (Colony, Texas f ATTEST: Christie Wilson, TRMC, City Secretary APPROVED AS TO FORM: Jeff Moore; City Attorney ENCROACHMENT/LICENSE AGREEMENT STATE OF TEXAS § COUNTY OF DENTON § This ENCROACHMENT / LICENSE AGREEMENT (hereinafter referred to as the "Agreement") is made by and between THE NEIGHBORHOODS OF AUSTIN RANCH ASSOCIATION, INC., a Texas non-profit corporation (hereinafter referred to as the "Developer"), and the CITY OF THE COLONY, TEXAS, a Texas home-rule municipality (hereinafter referred to as the "City"). WHEREAS, the City is the owner of the Windhaven dedicated right-of-way situated in the City of The Colony, Denton County, Texas, being depicted as the plat, Cabinet T and page 103, as described in Exhibit A, an addition to the City of The Colony, Denton County, Texas (hereinafter referred to as the "Property"); and WHEREAS, on or about September 15, 2008, the City executed with CB MF 5 LAND, LTD., a Texas limited partnership, an Encroachment/License Agreement concerning the construction and maintenance of monument signage within the City's right-of-way in and along Windhaven Parkway; and WHEREAS, CB MF 5 LAND, LTD., entered into an Assignment of Encroachment / License Agreement with Developer transferring its rights under the Encroachment/License Agreement with the City executed September 15, 2008; and WHEREAS, Developer may desire to remove one of the previously constructed monument signs (hereinafter referred to as the "Improvements") within the said right-of-way as depicted on Exhibits B and C, of this Agreement, which is attached hereto and incorporated herein for all purposes, and construct a new monument sign (hereinafter referred to as the "New Improvement") within the said right-of-way as depicted on Exhibit D, of this Agreement, which is attached hereto and incorporated herein for all purposes, which such Improvements and New Improvement encroach upon the right-of-way (hereinafter referred to as the "Encroachment"); and WHEREAS, the City and Developer desire to only provide a two (2) year period to remove the Improvements, and construct and install the New Improvement. Further, the failure install the New Improvement by said deadline will result in the Improvements remaining at their current location as depicted in Exhibits B and C of this Agreement; and WHEREAS, the pertinent departments within the City have reviewed Developer's rcquest and recommend approval thereof, subject to Developer's agreement to be solely responsible for the construction, maintenance, removal, and replacement of the Improvements, and New Improvement as set forth herein. NOW, THEREFORE, for and in consideration of the foregoing premises and other good and valuable consideration, the receipt and adequacy of which are hereby acknowledged, City and Developer covenant and agree as follows: Section 1. Incorporation of Premises. The findings set forth above are incorporated into the body of this Agreement as if fully set forth herein. Section 2. Effective Date. This Agreement shall be effective as of the date of execution of this Agreement by the last of the Parties to do so (hereinafter referred to as the "Effective Date"). Section 3. Grant of License for New Improvement. The City, being the present owner of the Property, for and in consideration of the foregoing, which is expressly made a part of this Agreement, and in consideration of approval of its request, is hereby gives authorization and grants to Developer until December 4, 2014, a license to place and maintain, subject to the limitation herein, the New Improvement with the removal of the Improvements within the easements and/or right-of-way as depicted in Exhibit D of this Agreement. The failure to install the New Improvement by said deadline will result in the Improvements remaining at their current location as depicted in Exhibits B and C of this Agreement. Prior to the construction of the New Improvement, Developer covenants and agrees to remove the Improvement and relocate to the location as indicated in Exhibit D of this Agreement. Developer shall be solely responsible for the removal of the Improvements as set forth herein. Developer shall be solely responsible for the construction, maintenance, removal, and replacement of the New Improvement as set forth herein. The Developer, its successors and assigns must maintain said New Improvement in good repair and shall ensure that the signs do not lean more than five percent (5%) from vertical. Section 4. Removal of New Improvement. The City agrees to give Developer written notice when and if it determines it necessary to constrict any additional facilities or verbal notice if 'he repair of the existing facilities within the nights-of-way is an emergency. Upon receipt of such notification, Developer shall be responsible, at Developer's sole cost and expense, to remove the New Improvement from the Easement. The City shall not have any responsibility for damage or removal to any New Improvement or any portion thereof, which remains in the Easement after such notification. Upon completion of any such work by the City, Developer, at its sole cost and expense, may replace said New Improvement in the rights-of-way, unless the improved roadway surface is widened at which time this Agreement will terminate. Section 5. Insurance. The City shall not be responsible for any damages to the New hmprovement occurring from the failure of the City's facilities beyond the reasonable control of the City. Developer shall maintain adequate liability insurance with the City as a named beneficiary to ,-)sure reconstruction or repair of such encroachment in the event of damage or disrepair. Any damages to New Improvement must be repaired by the Developer within thirty (30) days. Section 6. Indemnity Clause. DEVELOPER, ITS SUCCESSORS AND ASSIGNS DO HEREBY RELEASE, INDEMNIFY AND HOLD HARMLESS THE CITY, ITS OFFICERS, AGENTS, EMPLOYEES, AND THIRD PARTY REPRESENTATIVES (COLLECTIVELY REFERRED TO AS "CITY") FROM ANY AND ALL CLAIMS, DAMAGES, CAUSES OF ACTION OF ANY KIND WHATSOEVER, STATUTORY OR OTHERWISE, PERSONAL INJURY (INCLUDING DEATH), PROPERTY DAMAGE AND LAWSUITS AND JUDGMENTS, INCLUDING COURT COST, EXPENSES, AND ATTORNEY'S FEES, AND ALL OTHER EXPENSES ARISING DIRECTLY OR INDIRECTLY FROM THE DEVELOPER'S PERFORMANCE OF THIS AGREEMENT. Section 7. Removal of New Improvement. If the City determines based upon acceptable engineering standards the New Improvement pose a hazard to the public or may interfere or impede traffic safety in anyway, the New Improvement must be removed, at sole cost of the Developer, its successor and assigns. Section 8. Event of Default. In the event Developer is in default of any of its obligations hereunder, before pursuing any remedy for such default, the City shall notify the other party, specifying the alleged default, and allow the Developer, its successors and assigns thirty (30) days ("Default Period") within which to cure such default. Upon expiration of the Default Period, if the default is not cured, City reserves the right to terminate this Agreement, and the New Improvement must be removed, at sole cost of the Developer, its successors and assigns. Section 9. Miscellaneous Provisions. The following miscellaneous provisions are a part of this Agreement: (a) Amendments. This Agreement constitutes the entire understanding and agreement of the parties as to the matters set forth in this Agreement. No alteration of or amendment to this Agreement shall be effective unless given in writing and signed by the party or parties sought to be charged or bound by the alteration or amendment. (b) Applicable Law and Venue. This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, and all obligations of the parties created hereunder are performable in Denton County, Texas. Venue for any action arising under this Agreement shall lie in the state district courts of Denton County, Texas. (c) Assignment. Upon written notice the other party, this Agreement may be assigned without the express written consent of the other party. (d) Attorney's Fees. In the event any person initiates or defends any legal action or proceeding to enforce or interpret any of the terms of this Agreement, the prevailing party in any such action or proceeding shall be entitled to recover its reasonable costs and attorney's fees (including its reasonable costs and attorney's fees on any appeal). 71hnding Obligation. This Agreement shall become a binding obligation on the signatories upon execution by all signatories hereto. City warrants and represents that the individual executing this Agreement on behalf of City has full authority to execute this Agreement and bind City to the same. Developer warrants and represents that the individual executing this Agreement on Developer's behalf has full authority to execute this Agreement and bind it to the same. (f) Caption Headings. Caption headings in this Agreement are for convenience purposes only and are not to be used to interpret or define the provisions of the Agreement. (g) File in Deed Records. This Agreement shall be filed in the deed records of Denton County, Texas. (h) Severability. The provisions of this Agreement are severable. If any paragraph, section, subdivision, sentence, clause, or phrase of this Agreement is for any reason held by a court of competent jurisdiction to be contrary to law or contrary to any rule or regulation have the force and effect of the law, the remaining portions of the Agreement shall be enforced as if the invalid provision had never been included.
